Mersen: changes to the Board of Directors

Mersen announces changes to its Board of Directors that will apply from the close of the Annual General Meeting to be held on May 19, 2022.

Paris, April 11, 2022 – Mersen (Euronext FR0000039620 – MRN), a global expert in electrical power and advanced materials, announces changes to its Board of Directors that will apply from the close of the Annual General Meeting to be held on May 19, 2022.

Isabelle Azemard, a director appointed on the recommendation of Bpifrance Investissement, whose term of office is due to expire at the close of the Annual General Meeting of May 19, 2022, will not stand for re-election due to the age limit set in the Articles of Association.

The Board of Directors would like to warmly thank Isabelle Azemard for her contribution to the Board and more particularly to the Governance, Appointments and Remuneration Committee since her appointment in 2014.

The General Meeting will be asked to approve the appointment of Bpifrance Participations as a new director. If the resolution is approved, Bpifrance Participations will appoint Emmanuel Blot as its permanent representative. Both the Board of Directors and Bpifrance place great importance on diversity of skills and believe that Emmanuel Blot will bring to the Board his financial expertise and extensive knowledge of the Mersen group, which he has followed for over ten years.

Subject to shareholders’ approval of this appointment, the Board will continue to have eight members (excluding the director representing employees, in accordance with the AFEP-MEDEF Code), five of whom will be independent. The Board will comprise three women and five men, thereby meeting the requirements of France’s Copé-Zimmermann law, which stipulates that the gender gap on boards of up to eight members (excluding employee directors) should not exceed more than two directors.

Biography

Emmanuel Blot is 36 years old. He started his career as a sell-side analyst in the capital goods sector, first at Bryan, Garnier & Co and then at Oddo BHF, covering industrial and aerospace companies. In 2012, he joined Fonds Stratégique d’Investissement, which became part of Bpifrance in 2013, and is currently Investment Director in the Large Cap division, with a focus on listed investments. He has been part of the team monitoring Mersen at Bpifrance for nearly ten years.
